Terms of use

This End User License Agreement along with the Privacy Policy, the Community Guidelines, and the Tournament Participation Rules (together referred to as the “Terms”), is a binding agreement between Jio Platforms Limited, a company incorporated under the Companies Act, 2013 and having its registered office at 101- Saffron, Near Centre Point, Panchwati Rasta 5, Ambawadi, Ahmedabad, Gujarat – 380006 (“we/us/our/JPL”) and the end user (“you”/“your”/“End User”) who accesses, downloads, installs, registers for, or otherwise avails the Application (defined below) and/or the Content (defined below) in accordance with these Terms. These Terms constitute an electronic record under the Information Technology Act, 2000 and the rules made thereunder, as amended, and this electronic record is generated by a computer system and does not require any physical or digital signatures.

BY CLICKING ON THE “I ACCEPT” BUTTON AT THE END OF THESE TERMS, OR OTHERWISE HAVING ACCESS TO, RECEIVING, DOWNLOADING, INSTALLING, REGISTERING FOR, AND/OR USING THE JIOGAMES APPLICATION (“APPLICATION”), YOU HEREBY CONFIRM THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO BE GOVERNED AND BOUND BY THESE TERMS INCLUDING THE PRIVACY POLICY, COMMUNITY GUIDELINES AND TOURNAMENT PARTICIPATION RULES, WHICH ARE INCORPORATED BY REFERENCE AND FORM AN INTEGRAL PART HEREOF, AND ANY OTHER RULES OR GUIDELINES, AS MAY BE ISSUED BY JPL WITH RESPECT TO THE APPLICATION, FROM TIME TO TIME. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, PLEASE DO NOT CLICK THE “I ACCEPT” BUTTON AND PLEASE DO NOT DOWNLOAD, INSTALL, REGISTER FOR, ACCESS OR USE THE APPLICATION OR ANY CONTENT.

JPL reserves the right to modify these Terms at any time at its sole discretion, and it is your responsibility to review these Terms from time to time; provided, however, that JPL will endeavour to provide notice of material changes through an in-Application prompt and/or email to your registered email address (where available), and you will be deemed to have accepted the Terms, as amended, if you continue to access or use the Application after the Terms are modified. Discontinuing use of the Application will not affect the applicability of the Terms to your prior use of the Application and/or Content, and any rights, obligations, disclaimers, and limitations which by their nature are intended to survive shall survive.

Definitions:

“Affiliates” shall mean, with respect to JPL, any entity which directly or indirectly controls, is controlled by, or is under direct or indirect common control with JPL, and “control” shall mean the power to direct the management and policies of such entity whether through ownership of voting securities, by contract or otherwise.

“Applicable Law” shall mean all laws, statutes, rules, regulations, notifications, directions, circulars, orders, guidelines, advisories and governmental requirements having the force of law in India, as applicable to the Parties and/or the subject matter of these Terms, including (without limitation) laws relating to information technology, intermediary due diligence, online gaming (to the extent applicable), consumer protection, taxation, payments, and data protection and privacy.

“JioGames Store” means a branded tile, area or section owned by Reliance Retail Limited (“RRL”) and operated by JPL within the Application through which End Users may purchase redemption codes and/or similar digital products, and it is clarified that the entity acting as the seller/issuer and/or merchant of record (including the entity issuing the invoice/receipt) shall be as stated in the invoice and/or the applicable purchase/checkout flow for such transaction.

“Content” shall mean and include all audio-visual works, games, audio, sound recordings, trademarks, brands, texts or literary work, images, photographs, graphic designs, brand features, visual interfaces, web-links, music, artwork, all interactive content, etc. in digital/electronic or any other format including any adaptations thereof, made available to End Users through the Application, but does not include User Content (defined below).

“User Content” shall mean any content, data, comments, reviews, feedback, posts, chat messages or other submissions that you or other end users may submit, publish, transmit, upload or otherwise make available through interactive features of the Application, including community chat, comments, live chat, reviews and ratings.

“Subscription Fee(s)” shall mean such fee(s) as may be levied by JPL (as displayed at the point of purchase) for access to certain categories of Content and/or features which are made available on a subscription basis, including monthly and/or yearly subscription plans, if any.

“Application” shall mean the JioGames application and/or web application that is, inter alia, used for hosting and distribution of games and is available on such platforms and operating systems as may be supported by JPL from time to time, and includes modules/sections such as JioGames Store, JioGames Cloud, JioGames Watch and JioGames Esports.

“Device” shall mean compatible internet-enabled devices, now known or later developed, capable of accessing the Application.

“Tournament(s)” shall mean such esports tournaments, competitions, challenges and/or events as may be conducted, hosted, enabled and/or facilitated by JPL along with its Affiliates and/or sponsors through the Application, and shall include tournament-specific rules as may be displayed within the Application from time to time.

1. Registration:

1.1 In order to access any information or Content (including files, media, videos, music, images and text) to which you may have authorized access as part of, or through, your use of the Application, you may be required to download and install the Application on your Device and/or register an account, and you acknowledge and agree that, at the time of installation and/or use, the Application may request certain permissions and access rights on your Device which permissions shall be sought in accordance with Applicable Law and the Privacy Policy, and you are agreeable to providing such permissions to the extent required for the proper functioning of the Application and delivery of Content.

1.2 If you are under the age of 18 years, you should review these Terms with your parent or legal guardian to ensure that you and your parent or legal guardian understand and agree to them, and further, where required by Applicable Law, your parent/legal guardian shall perform or undertake such actions as may be necessary to enable you to enter into and/or use the Application under a legally binding arrangement.

1.3 In order to access and use certain Content and/or features, you may be required to create a user account with JPL for the Application, and you agree that you shall not reveal your user account credentials to any person, and that you shall be solely responsible for maintaining the confidentiality and security of your user account and for all activities that occur on or through your user account, and you agree to immediately notify JPL of any actual or suspected unauthorized access or security breach of your user account. You confirm and warrant that all data and information supplied by you when you register for accessing the Application and provided by you to JPL is true, current, complete and accurate in all respects.

1.4 You may, at the sole discretion of JPL, be permitted to write comments/reviews/feedback regarding Content or features through social networking and/or community capabilities incorporated in the Application, and you shall not post any unlawful content, including without limitation any content constituting or encouraging conduct that would constitute a criminal offence, give rise to civil liability or otherwise violate Applicable Law, and you hereby grant JPL express rights and consent to display your rating/review in relation to the relevant Content on the Application/website, including making it available to other members for viewing, and you acknowledge that these features may change without notice and the degrees of associated information sharing and functionality may also change without notice.

1.5 JPL is free, at its sole discretion, to use any User Feedback, comments, information, ideas, concepts, reviews, or techniques or any other material contained in any communication you may send to us (“User Feedback”), including responses to questionnaires or through postings to the Application and user submissions, without further compensation, acknowledgement or payment to you for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products and creating, modifying or improving JPL’s offerings including the Application, and by posting/submitting any User Feedback/User Content on the Application, you grant JPL a perpetual, worldwide, non-exclusive, royalty-free, irrevocable, sub-licensable license and right in such User Feedback/User Content to JPL, including the right to display, use, reproduce, distribute, adapt (including for formatting/technical purposes), or modify the same in any media, software or technology now existing or developed in the future, and JPL reserves the right to remove such User Content at its sole discretion and/or upon request of any third party if such User Content may create liability for JPL or harm JPL’s reputation or is offensive, inappropriate, defamatory, obscene or libellous in nature, or otherwise violates these Terms or Applicable Law.

2. Grant of License:

2.1 Software License: You hereby agree that all rights, title and interests in the Application vest with JPL and/or its licensors. Subject to your strict and full compliance with these Terms, JPL hereby grants you a revocable, non-exclusive, non-transferable, non-sub-licensable and limited license to download, install and use the Application on Devices owned and controlled by you, and to access and use the Content only through the Application on such Devices, strictly in accordance with these Terms. For avoidance of doubt, the Application includes (i) the software application in object code and/or source code (as applicable for permitted access) that you may access and download, and the scripts, interfaces, graphics, displays, text, documentation and other components/associated data and information made available to you as part of the software; and (ii) any updates, modifications, patches, upgrades, enhancements, or other changes to the foregoing or any part thereof, as may be provided by JPL from time to time.

2.2 Content License: The Content is owned by JPL and/or third party content providers and licensed to JPL and/or its Affiliates. Subject to your strict and full compliance with these Terms, JPL hereby grants you, for the term of license corresponding to your subscription package (if any) and for the territory of India (unless expressly permitted otherwise by JPL), a personal, limited, non-exclusive, non-transferable and revocable license to access and use the Content for your private and personal use and for non-commercial, legally permissible viewing, streaming, downloading and/or interacting through your Device as per the applicable scope, plan and access model of the corresponding Content, it being clarified that the manner of access may vary by Content type and feature, and may include streaming-only access, time-limited access, device-limited access, or other restrictions as displayed within the Application.

2.3 Reservation of Rights: Except for the rights expressly stated herein, no other rights are granted to you with respect to the Application or the Content, either by implication, estoppel, or otherwise, and all rights not expressly granted are reserved by JPL and/or its licensors.

3. Terms of Accessing the Application and the Content:

3.1 The Application is intended as a means to deliver Content for your personal consumption and to enable participation, where applicable, in esports tournaments organized or facilitated through the Application, and your access to the Application and Content signifies your consent to view and receive such Content. Your access to the Application may also enable JPL to share certain information, including Personal Data, with its Affiliates and service providers for delivery of Content, provision of services, customer support, transaction processing, and, where applicable, tournament administration and prize distribution, strictly in accordance with the Privacy Policy and Applicable Law, and you agree and acknowledge that by use of the Application you do not acquire ownership in the Application or the Content and you shall access the Content only via the functionalities provided by the Application and strictly in the manner permitted under these Terms and in accordance with the applicable subscription plan selected by you. In case of conflict between these Terms and any separate written agreement executed between you and JPL, the latter shall prevail to the extent of such conflict.

3.2 The Application and all Content are protected by applicable intellectual property laws, and may not be used by you except as expressly permitted by JPL under these Terms.

3.3 JPL may, in its sole discretion, and without obligation or liability towards you (including any refund or credits for any subscription fee whether in full or in part thereof except as required under Applicable Law), add, modify, suspend, or delete one or more Content items or features from the Application, or modify Subscription Fees for Content or any of your rights or authorizations, and the Terms may also be modified based on business, legal and regulatory requirements and will be updated online, and JPL will notify End Users of material changes through an in-Application prompt and/or email to their registered email address (where available), and End Users are encouraged to periodically review these Terms for updates.

3.4 Use of the Application requires compatible Devices and internet access, and certain software and/or Device components may require periodic updates, and the performance of the Application may be affected by the performance of these factors, and you agree that meeting these requirements, which may change from time to time, is your responsibility.

3.5 The Application may contain links or pointers to other websites, and you acknowledge that JPL does not operate or control such websites and your use of such websites shall be governed by their respective terms and policies. It is clarified that JioGames Store is owned by RRL and operated by JPL, and that redemption codes sold through the JioGames Store are to be redeemed through the respective platforms/games as applicable, and if any End User faces issues with transactions they may write to support@jiogamesstore.com with details as may be required in the support workflow.

4. Intermediary Positioning Limited to User Content Features:

4.1 You acknowledge and agree that to the extent the Application provides interactive features that permit End Users to submit, host, display, upload or transmit User Content, JPL facilitates such User Content features in accordance with Applicable Law, including intermediary due diligence requirements under the Information Technology Act, 2000 and the rules made thereunder, as applicable, and JPL may remove or disable access to User Content and/or suspend or terminate accounts where User Content violates Applicable Law or these Terms.

4.2 For the avoidance of doubt, the foregoing intermediary positioning is intended to apply only to User Content and interactive community features, and shall not be construed as limiting JPL’s rights and responsibilities as the operator of the Application and the provider or licensee of the Content and related features, including tournament facilitation as per the Tournament Rules.

5. Fees:

5.1 The Application may be downloaded through an online store/e-store as per the terms and conditions applicable for such download including these Terms.

5.2 You hereby agree that for subscribing to any Content or any Content package, you may be required to pay the requisite Subscription Fee to JPL, as per the subscription plan selected by you, and it is clarified that Subscription Fees are applicable only on select categories of Content available on the Application, and there are no charges payable to JPL merely for using the Application unless expressly stated otherwise by JPL and/or as per the policies of the respective Content owners.

5.3 At the time of subscribing for Content, you agree to JPL’s collection of the Subscription Fee associated with the subscribed Content as selected by you, through permitted payment methods available within the Application.

5.4 You understand and acknowledge that JPL may facilitate third party payment gateways for processing payments, and such facility is managed by the relevant third party provider and you are required to follow all the terms and conditions of such provider, and you are responsible for accuracy and authenticity of information provided by you, and JPL shall not be liable for losses attributable solely to payment gateway failures or third party fraud, except to the extent such liability cannot be excluded under Applicable Law.

5.5 Unless otherwise specified, Subscription Fees once paid are non-refundable except as required under Applicable Law or as expressly stated in these Terms.

6. Rights of JPL:

6.1 JPL may suspend or terminate your access to the Application and/or Content without prior notice where you are in breach of these Terms, engaged in fraudulent or unlawful conduct, or where required for security or legal compliance.

6.2 Upon cancellation of your subscription and/or termination of your access, JPL will be authorised to delete or disable access to certain files, programs, data and messages associated with your account and usage, provided that JPL may retain certain information for such period and for such purposes as may be required under Applicable Law and/or as set out in the Privacy Policy, including for compliance, dispute resolution, audit, fraud prevention, and legitimate business purposes.

7. Indemnity:

You shall, to the maximum extent permitted under Applicable Law, defend, indemnify and hold harmless JPL, its Affiliates, and their respective directors, officers, personnel, contractors and agents, from and against any and all claims, suits, judgments, losses, damages, costs and expenses arising out of or relating to your breach of these Terms, your unlawful use of the Application and/or Content, your User Content, or your infringement of any third party rights.

8. Disclaimer of Warranties:

The Application and all Content provided through the Application are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, and JPL does not warrant, expressly or by implication, the accuracy, reliability, availability, or suitability of the Application or any Content for any particular purpose, and to the maximum extent permitted under Applicable Law, JPL disclaims all warranties whether express or implied, including those of merchantability, fitness for a particular purpose, non-infringement, or that use of the Application and the Content will be uninterrupted or error-free.

9. Limitation of Liability:

To the maximum extent permitted by Applicable Law, JPL shall not be liable to you for any indirect, special, incidental, punitive or consequential damages whatsoever, including without limitation damages for loss of use, loss of business profits, business interruption or loss of information, arising out of or in connection with your use of or inability to use the Application or the Content, and JPL’s aggregate liability arising out of or relating to the Application, Content or these Terms shall be limited to the Subscription Fee last paid by you for the relevant Content or access giving rise to the claim, or INR 500 if no Subscription Fee was paid, except where such limitation is prohibited under Applicable Law.

10. Governing Law:

These Terms shall be governed and construed in accordance with the laws of India, and the courts in Mumbai shall have jurisdiction, provided that nothing herein shall be construed as limiting any non-waivable statutory rights or remedies available to you under Applicable Law, including consumer protection laws.

11. Force Majeure:

JPL shall not be liable for non-performance or delay caused by events beyond its reasonable control, including acts of God, war, riots, pandemics, strikes, governmental actions, network failures or infrastructure breakdowns.

Community Guidelines

(JioGames Watch / Live Chat)

All users must engage respectfully, refrain from posting unlawful, harmful, hateful, misleading, obscene or defamatory content, must not impersonate others, must not engage in spam or commercial solicitation, must protect the privacy of others, must stay on topic, and acknowledge that repeated violations may result in suspension or termination of community participation, and moderation decisions may be taken in accordance with Applicable Law and these Terms.

JioGames Esports: Tournament Participation Rules

Participation

Upon creating an account and tournament profile, users may participate in Tournaments subject to team and eligibility requirements as displayed in the Application, and tournament details including match schedules and fixtures may be communicated through in-App notifications and/or SMS/email based on user-provided details, and participation shall be free unless expressly stated otherwise, and where prizes include cash or cash-equivalent payouts, KYC and verification may be required under Applicable Law and failure to complete such verification within timelines may result in forfeiture of prizes, subject always to Applicable Law.

Scores and Winners

Leaderboards, if displayed, are indicative and may not reflect real-time standings due to technical or synchronization constraints, and final results shall be determined on the basis of backend system records and verification processes including anti-cheat and fraud checks, and winners shall be selected strictly in accordance with the criteria disclosed for the relevant Tournament, and JPL shall have the right to disqualify users or teams for rule violations, manipulation or fraud, and subject to Applicable Law, JPL’s verification and disqualification decisions shall be final.

Prizes

Prize details, number of winners and claim procedures shall be as disclosed in the Application for each Tournament, and winners must respond and complete verification and claim requirements within 30 days of notification failing which prizes may be forfeited and alternate winners may be selected in accordance with tournament criteria, and where prizes are fulfilled by sponsors or third parties, such fulfilment shall be subject to sponsor terms.

Taxes

All the payments / credits to the Winners shall be made after deduction of tax at source (TDS) or withholding tax, as applicable, in accordance with the provisions of the Income-tax Act, 1961. JPL shall (a) deduct applicable withholding taxes or TDS, as applicable, in India from all the payments due to the Winner; and (b) pay the Winner the net amount after deducting the applicable withholding taxes or TDS. JPL shall deposit such withholding taxes or TDS, as applicable, with the relevant governmental authorities in India and also a withholding tax certificate / reports as required under the Income-tax Act, 1961 and the Income-tax Rules, 1962 shall be provided to the Winner within the prescribed time limit. The Winner shall provide the Permanent Account Number (“PAN”) to JPL. JPL shall be entitled, in its sole discretion, to determine the applicable rate and amount of such tax to be deducted and withheld in accordance with Applicable Law, and the Winner shall not dispute the same.

The Winner shall defend, indemnify and hold JPL harmless from and against (i) any non-payment or underpayment of any Taxes assessed on the Winner in any jurisdiction or imposed by any governmental authority that relate to the Tournament and/or Prizes; (ii) any interest or penalty with respect to any non-payment or underpayment of any Taxes; and (iii) any demand by any Indian governmental authority on account of any additional deduction of taxes at source or withholding tax, interest or penalty thereon.
